Developer Agreement
For developers selling in the App Store: review, the 80/20 split, payouts, taxes and delisting.
DRAFT: not legal advice; to be reviewed by a lawyer before launch. Text in highlighted square brackets, like [Registered address], is a placeholder still to be filled in.

This agreement is between EzyLab, LLC (“EzyStudio”, “we”) and the developer organisation that applies to the EzyStudio developer programme (“you”). It adds to our Terms of Service and Acceptable Use Policy, which also apply. If they conflict on the developer programme, this agreement wins.
You accept it when you apply to the programme, or when you submit an app, whichever comes first. The person who accepts it confirms they can bind the developer organisation.
1. The short version
- You build apps and templates; we review, list, sell, host and install them.
- You keep 80% of every sale and every monthly payment. EzyStudio keeps 20%, which covers payments, hosting and review. No listing or setup fees.
- Earnings wait 14 days (the buyer refund window), then become available. We pay on the 15th of each month, once your balance reaches $25.
- You are responsible for your own taxes, your app, its support and its listing.
- We decide what is listed and may remove an app from the App Store.
2. Joining the programme
- Application. You apply with your organisation’s details and some answers about your work. We approve or decline applications at our discretion, and may ask for more information. We aim to answer within a few business days but don’t promise a time.
- Your organisation. You are responsible for the people you add to your developer team, their roles and everything they do. Keep your team’s sign-in details secret; anything done with them counts as done by you.
- True details. Keep your organisation’s name, support email, website and payout details correct.
- Eligibility. You must be able to receive payouts through our payment provider in a supported country, and must not be subject to sanctions.
3. Submitting apps and review
- What you submit. An app is a set of changes to a customer’s site (pages, server routes and database tables), installed from a bundle you upload with its listing (name, description, screenshots, price, data note). You submit from the developer portal.
- Review. Every new app and every update, including a price change, is checked automatically and by a reviewer before it goes live. We aim to finish a review within 7 business days. We may send it back with notes, approve it, or reject it, at our discretion. Passing review is not a promise that your app is secure, legal or error-free; that remains your responsibility.
- Our rules. Your app must follow the developer docs, the App Store security rules, this agreement and the Acceptable Use Policy. In particular:
- the price on the listing is the only price: no hidden fees, paywalls, upsells or extra charges inside the app;
- the listing, screenshots and data note are accurate and say what the app stores and why;
- no malware, hidden behaviour, tracking, cryptocurrency mining or code unrelated to the app’s purpose;
- collect only the data the app needs; never sell or share the data of the buyer or their users, and let the buyer export and delete it;
- no secrets in code, and follow the platform’s security defaults;
- you have every right needed in the code, images, fonts and other material in your app.
- Re-review. We may review a live app again at any time, for example after a complaint or a security report.
4. Pricing and the App Store
- Your price. You choose whether an app is free, a one-time purchase or monthly, and set its price, in the currencies we support. You can change the price; a change is an update and goes through review.
- Existing buyers. If someone installed your app while it was free and you later make it paid, their install stays free. A new price applies to new purchases. Buyers of a monthly app keep renewing at the price they bought at; if we ever offer a way to move existing buyers to a new price, it will apply only from a renewal at least 30 days after we tell them.
- Which plans. Paid apps install on the App and Business plans; paid website templates on the Website, App and Business plans; free apps on any plan. We may change which plans can install apps.
- The listing. We decide how the App Store looks, how apps are sorted, searched, featured and grouped, and which appear in promotions. We don’t promise any number of installs or sales.
- Reviews. Buyers who installed your app can rate and review it. Don’t write, buy, swap or reward reviews, or ask buyers to change them. You may reply to reviews, politely.
- Our own apps. We may build, sell or include our own apps (first-party apps), including ones that compete with yours, and include apps in plans at no extra cost. Nothing in this agreement gives you exclusivity.
5. Revenue share
- The split. For each sale of a paid app, and each monthly payment of a monthly app, you get 80% of the price the buyer paid (excluding any taxes we collect), and EzyStudio keeps 20%. The 20% covers payment processing, hosting, delivery and review; we don’t take other fees from your share. Amounts are calculated in cents; our 20% is rounded to the nearest cent and you get the rest.
- Refunds and chargebacks. Buyers can get a refund within 14 days of a payment under our Refund Policy, and we may refund in other cases where the law requires or we reasonably decide it is fair (for example an app that doesn’t work as described). When a sale is refunded or charged back, your share of it is reversed. If it was already paid out, we deduct it from your next payouts. You can’t refuse a refund we give.
- Records. Your sales, refunds, earnings and payouts are on your developer dashboard. If you think something is wrong, tell us within 60 days of the payout or statement; after that it is final, except for errors we find ourselves.
- Changes. We may change the split or the fees with at least 30 days’ notice. A change applies to sales made after it takes effect.
6. Payouts
- Pending, then available. A sale’s earnings are pending for 14 days (the refund window), then become available.
- Monthly payout. On the 15th of each month, we pay what became available in the previous month, if it reaches the minimum payout of US$25 (or its equivalent). Smaller balances roll over to the next month.
- Payout account. We pay through Wise, to the Wise account whose email you save in your developer dashboard. It must be in your name or your business’s. Until you add one, your balance waits. Wise’s own terms apply to your Wise account, and Wise may ask you for identity or business information.
- Failed transfers. If a payment can’t reach your Wise account, we email you to check your Wise email and send it again. A sent payout usually reaches your Wise balance within one or two business days. Conversion or transfer fees charged by Wise or your bank are yours.
- Holds. We may hold or delay payouts, or set aside a reserve, if we reasonably suspect fraud, a breach of this agreement, an unusual number of refunds or chargebacks, or a legal problem, until it is resolved. We will tell you why unless the law stops us.
- Set-off. We may deduct from your payouts any amount you owe us under this agreement, including reversed sales.
- Unclaimed balances. If you haven’t set up a verified payout account within 24 months after earnings first became available, and we tried to reach you, we may treat the balance as unclaimed and handle it as the law where we are allows.
7. Taxes
- You are responsible for all taxes on your earnings and your business, and for registering, filing and paying them.
- You give us any tax forms or information we or our payment provider need (for example a tax ID or a US W-9 or W-8 form). If the law requires us to withhold tax from your payouts, we do so and pay it to the tax authority, and the payout is treated as paid in full.
- At launch, EzyStudio does not charge sales tax or VAT on App Store sales. If we start collecting such taxes on sales, we will calculate your 80% on the price excluding that tax.
- [Lawyer to decide: whether EzyStudio sells apps to buyers as merchant of record or as the developer’s commercial agent, and the tax consequences.]
8. Licences
- You keep ownership of your apps. Nothing in this agreement transfers your intellectual property to us.
- Licence to EzyStudio. You give us a worldwide, non-exclusive, royalty-free licence, during this agreement and as long as section 11 needs, to host, review, scan, copy, distribute, sell, install, display and promote your apps and listings, and to use your name, logo and screenshots in the App Store and in marketing for it. This includes letting our service providers do this for us.
- Licence to buyers. Each buyer gets a non-exclusive, perpetual licence to use, copy and modify your app’s code within the site it was installed on, including by their own AI, and to keep using that site’s copy after the purchase or this agreement ends (for monthly apps, while their subscription is active). Buyers may not resell your app as a standalone product. You may add a licence on your listing only if it gives buyers at least these rights.
- Customisation. Installing an app writes its files into the buyer’s site and commits them to the site’s history. The buyer’s own AI then adapts it to their business. You are not responsible for changes the buyer or their AI makes, and you may not prevent them.
9. Data and support
- Buyer data. You receive sales totals and the details buyers choose to show with a review (first name, business name and city). You don’t receive buyers’ contact details or their users’ data from us. Don’t try to obtain them through your app.
- Your users’ data inside apps. Your app runs inside the buyer’s site and stores data in the buyer’s Site Database, which the buyer controls. A site’s server can reach only EzyStudio and its own database, so your app must not depend on sending data anywhere else.
- Support. You support your apps. Give buyers a working support email, answer them within a reasonable time (we suggest 2 business days), and fix security issues promptly. If you don’t, we may remove the app.
- Security issues. Tell us at [security contact email] within 24 hours if you learn of a security vulnerability in your app or a breach affecting buyers or their users.
10. Removing apps and suspending developers
- By you. You can withdraw a submission at any time, and ask us to remove a live app from sale. Existing buyers keep their installed copies. For monthly apps, we may keep charging and paying you for existing subscriptions until they end, and you keep supporting them until then, unless we agree otherwise.
- By us. We may refuse, remove, hide, suspend or delist any app, or suspend your developer organisation, at our discretion, for example for a breach of this agreement, security or legal risk, complaints, misleading listings, poor quality or lack of support, or a change to the App Store. Where we reasonably can, we tell you first and give you a chance to fix the problem; for serious problems we act straight away. We may also uninstall or disable an app on customers’ sites if it is harmful.
- What delisting and suspending mean. A delisted or suspended app is hidden from the App Store and can’t be bought. Unless we uninstall or disable it because it is harmful, customers who already installed it keep it, their monthly subscriptions keep renewing, you keep earning from them, and you keep supporting them. We tell you by email and in your dashboard, with the reason. Approving a new version doesn’t list the app again; we do that when the reason is gone.
- What we don’t owe. Except for earnings you have already made and that aren’t reversed, we owe you nothing for removing an app or changing the App Store.
11. Term and termination
- This agreement runs until either of us ends it. You may end it by closing your developer organisation or telling us, with 30 days’ notice. We may end it with 30 days’ notice, or straight away for a serious or repeated breach, fraud, or if the law requires.
- When it ends, your apps are removed from sale. Buyers keep the licences in section 8. We pay your remaining available earnings on the normal schedule, after the refund window and less any reversals and amounts owed, subject to the minimum payout. If the agreement ends because of your serious breach or fraud, we may keep earnings connected to it, as far as the law allows.
- Sections that by their nature should continue (licences to buyers, taxes, reversals, indemnity, liability, disputes) continue.
12. Promises, indemnity and liability
- Your promises. You have the right to enter this agreement and to license your apps as it says; your apps and listings follow the law and don’t infringe anyone’s rights; and you follow this agreement and our policies.
- Indemnity. You will defend and indemnify EzyStudio, its affiliates and their people against third-party claims, losses, fines and reasonable costs (including legal fees) arising from your apps, listings, support, taxes, your breach of this agreement or the law, or infringement by your app. Section 19 of the Terms of Service describes how a claim is handled.
- Disclaimer. The developer programme, the App Store and the payout services are provided “as is”, as section 17 of the Terms describes.
- Liability. To the extent the law allows, neither of us is liable for indirect or consequential losses or lost profits. Our total liability to you under this agreement in any 12-month period is limited to the greater of (a) the 20% fees we kept from your sales in the 6 months before the claim arose, and (b) US$100. This doesn’t limit our duty to pay earnings you are owed, your indemnity, or liability the law doesn’t allow to be limited.
13. General
- Changes. We may update this agreement. For changes that materially affect you, we will give you at least 30 days’ notice by email or in the developer portal. If you don’t accept a change, you can end the agreement before it takes effect; continuing in the programme after that means you accept it.
- Independent parties. You are an independent business, not our employee, agent or partner. You may not make promises in our name.
- Confidentiality. Keep non-public information we share with you about the programme (for example unreleased features or review notes) confidential.
- Law and disputes. Sections 21 and 22 of the Terms of Service apply, including governing law [Governing law] and courts [Courts / jurisdiction].
- Contact. Developer programme: [developer contact email].
